These Terms of Service ("Terms") constitute a legally binding agreement between you ("Subscriber," "you," or "your") and TeezByDeez Hospitality Operations, a sole proprietorship doing business as PrimeKitchen OS ("Company," "we," "us," or "our"), governing your access to and use of PrimeKitchen OS.

BY ACCESSING OR USING THE SERVICE, CREATING AN ACCOUNT, OR CLICKING "I AGREE," YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT ACCESS OR USE THE SERVICE.

1. Description of Service

PrimeKitchen OS is a restaurant financial operating system that provides multi-tenant software-as-a-service (SaaS) tools for independent and multi-unit restaurant operators, including:

We reserve the right to modify, add, or discontinue features of the Service at any time with reasonable notice to active subscribers.

2. Account Registration and Eligibility

2.1 Eligibility

To use PrimeKitchen OS you must: (a) be at least 18 years of age; (b) have the legal authority to enter into a binding contract; (c) operate or manage a restaurant or food service business; and (d) provide accurate and complete registration information.

2.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at support@teezbydeez.com of any unauthorized access or suspected security breach.

2.3 Multi-Location Accounts

Subscribers on the Multi-Unit plan may add multiple restaurant locations to a single account. You are responsible for all activity across all locations in your account.

3. Subscription Plans and Payment

3.1 Subscription Tiers

Subscribers signing up through the Clover App Marketplace are billed at the same published rates above. Pricing is subject to change with 30 days written notice to active subscribers.

3.2 Billing

Subscriptions are billed on a monthly recurring basis and automatically renew each month. Payment is processed by Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel. All fees are in US Dollars and are non-refundable except as stated in Section 3.4.

3.3 Free Trials and Promotional Pricing

We may offer free trials or promotional pricing at our discretion. At the end of any free trial period, your account will automatically convert to a paid subscription unless you cancel before the trial ends.

3.4 Refund Policy

We do not offer refunds for subscription fees already paid. If you cancel, you will retain access through the end of your current billing period. We may, at our sole discretion, offer pro-rated refunds or account credits in exceptional circumstances such as documented service outages lasting more than 24 hours within a billing period.

3.5 Failed Payments

If payment fails, we will notify you by email and retry payment up to three times over seven days. If not resolved within 14 days, your account may be suspended. Suspended accounts retain data for 30 days before deletion.

3.6 Cancellation

You may cancel your subscription at any time through your Account settings or by contacting support@teezbydeez.com. Cancellation takes effect at the end of the current billing period.

3.7 Billing Errors and Disputes

You must notify us in writing of any billing errors or disputed charges within 120 days from when the charge appears on your invoice. After 120 days, you waive any claims arising from billing errors not previously raised. Send billing dispute notices to support@teezbydeez.com.

4. Acceptable Use

4.1 Permitted Use

PrimeKitchen OS is licensed to you for lawful use in operating and managing restaurant or food service businesses.

You are responsible for ensuring that your use of PrimeKitchen OS to collect, store, and process employee data complies with all applicable employment laws and privacy regulations. We process employee data only as a data processor acting on your instructions.

5. Point of Sale Integration

5.1 Authorization

By connecting your Square or Clover account to PrimeKitchen OS, you authorize us to access your POS data through the OAuth authorization you grant. You may revoke this authorization at any time through your POS provider's account settings.

5.2 POS Data Use

We access POS data solely to provide the features of PrimeKitchen OS. We do not sell or share your POS data with third parties for their independent commercial purposes.

5.3 POS Provider Terms

Your use of Square and Clover integrations is also subject to those providers' Terms of Service. We are not responsible for changes to POS provider APIs or data availability that may affect PrimeKitchen OS functionality.

6. Intellectual Property

6.1 Our Intellectual Property

PrimeKitchen OS, including its software, design, features, architecture, and branding, is owned by TeezByDeez Hospitality Operations and is protected by copyright, trademark, and other intellectual property laws. You receive only a limited, non-exclusive, non-transferable, revocable license to use the Service as described in these Terms.

6.2 Your Data

You retain all ownership rights to the business data you input into PrimeKitchen OS. You grant us a limited, non-exclusive license to process and use your data solely for the purpose of providing, maintaining, and improving the Service.

6.3 Feedback

If you provide suggestions or feedback about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate that Feedback into the Service without obligation to you.

7. Data and Security

7.1 Security Measures

We implement technical and organizational measures to protect your data as described in our Privacy Policy, which is incorporated into these Terms by reference. You are responsible for maintaining the security of your account credentials and for ensuring that data you input into the Service is accurate.

7.2 Service Provider Status Under Privacy Laws

App Provider acts solely as a "Service Provider" under the California Consumer Privacy Act (CCPA), the California Privacy Rights Act (CPRA), and other applicable privacy and data protection laws (collectively, "Privacy Laws"). We process Merchant Data and Personal Information only on behalf of the Merchant for the limited and specified purpose of providing the Service, and not for our own commercial purposes. We do not "sell" or "share" Personal Information as those terms are defined under applicable Privacy Laws. We will limit our collection, use, retention, and disclosure of Personal Information to activities reasonably necessary and proportionate to provide the Service.

7.3 Cooperation with Data Subject Requests

If a Merchant receives a verifiable consumer request from one of their staff or customers regarding data we process on their behalf, we will reasonably cooperate with the Merchant to respond to the request, taking into account the nature of our processing and the information available to us. If we receive such a request directly, we will redirect the requester to the Merchant and notify the Merchant of the request. We will notify the Merchant within reasonable time of any complaint, notice, or communication we receive that directly or indirectly relates to either party's compliance with Privacy Laws in connection with the Service.

8. Artificial Intelligence Features

PrimeKitchen OS includes AI-powered features including the AI Advisor and automated operational intelligence. By using these features, you acknowledge:

9. Service Availability and Support

9.1 Availability

We aim to maintain Service availability of 99% or greater on a monthly basis, excluding scheduled maintenance. We reserve the right to perform maintenance that may result in temporary Service interruptions.

9.2 Support

Technical support is available via email at support@teezbydeez.com. We will make commercially reasonable efforts to respond to support inquiries within 2 business days.

10. Disclaimers and Limitation of Liability

10.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

FINANCIAL ANALYTICS AND OPERATIONAL INTELLIGENCE PROVIDED BY PRIMEKITCHEN OS ARE FOR INFORMATIONAL PURPOSES ONLY AND DO NOT CONSTITUTE PROFESSIONAL FINANCIAL, ACCOUNTING, LEGAL, OR BUSINESS ADVICE.

10.2 Labor and Payroll Disclaimer

PrimeKitchen OS provides labor tracking, scheduling, and operational insights. It does not replace payroll systems or legal compliance responsibilities. Employers are solely responsible for ensuring compliance with all applicable wage and labor laws, including but not limited to minimum wage requirements, overtime calculations, break period mandates, and employee classification. Labor cost estimates displayed within the Service are for operational planning purposes only and should not be used as the sole basis for payroll processing.

10.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL TEEZBYDEEZ HOSPITALITY OPERATIONS, ITS OWNER, EMPLOYEES, AGENTS, OR CONTRACTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

10.4 Indemnification

You agree to defend, indemnify, and hold harmless TeezByDeez Hospitality Operations and its owner, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses arising out of or relating to your use of the Service, your violation of these Terms, or any data you submit to the Service.

11. Term and Termination

11.1 Term

These Terms begin when you create an account and continue until your subscription is terminated by either party.

11.2 Termination by You

You may terminate your subscription at any time by canceling through your account settings or contacting support@teezbydeez.com. Termination does not entitle you to a refund of fees already paid.

11.3 Termination by Us

We may suspend or terminate your account if you materially breach these Terms, your payment is overdue and unresolved within 14 days, or your use poses a risk to the security or integrity of the Service.

11.4 Effect of Termination

Upon termination, your license ends immediately. We will retain your data for 90 days to allow for data export requests, after which it will be permanently deleted except as required by law.

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms are governed by the laws of the State of New York, without regard to its conflict of law principles.

12.2 Informal Resolution

Before initiating any formal legal proceeding, you agree to contact us at support@teezbydeez.com to attempt to resolve the dispute informally within 30 days.

12.3 Arbitration

If informal resolution fails, any dispute will be resolved by binding individual arbitration administered by JAMS under its applicable rules. The arbitration will be conducted in Chautauqua County, New York or remotely at your option.

12.4 Class Action Waiver

YOU AND TEEZBYDEEZ HOSPITALITY OPERATIONS EACH WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. ALL DISPUTES MUST BE BROUGHT IN AN INDIVIDUAL CAPACITY.

12.5 Jury Trial Waiver

YOU AND TEEZBYDEEZ HOSPITALITY OPERATIONS EACH WAIVE ALL RIGHTS TO A TRIAL BY JURY IN ANY MATTER ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE.

13. Relationship with Clover and Third-Party Platforms

13.1 Independent Developer

PrimeKitchen OS is developed and operated by TeezByDeez Hospitality Operations, an independent developer. We are not an agent, employee, or partner of Clover, Fiserv, Inc., Square, Block, Inc., or any other POS platform provider. No joint venture, partnership, or agency relationship exists between us and any POS platform by virtue of these Terms or your use of the Service.

13.2 Non-Liability of Platform Providers

Clover, Fiserv, Inc., and their respective affiliates, subsidiaries, officers, directors, and employees are not parties to this agreement. They are not responsible for the functionality, performance, availability, or support of PrimeKitchen OS. They bear no liability whatsoever for any claims, damages, losses, costs, or expenses arising out of or related to your use of PrimeKitchen OS, and they make no warranties — express or implied — regarding the Service.

13.3 Third-Party Beneficiary

Clover, Fiserv, Inc., and their affiliates are intended third-party beneficiaries of these Terms and shall have the right to directly enforce these Terms against you as a third-party beneficiary. This provision survives termination of your account and these Terms.

13.4 Data Deletion on App Removal

If you uninstall PrimeKitchen OS from your Clover merchant dashboard, we will stop collecting data from your Clover account immediately. You may request full deletion of all data previously imported from your Clover account by contacting support@teezbydeez.com. Deletion requests will be processed within 30 days. Data required for legal or regulatory compliance (such as billing records) will be retained only as long as legally required.

13.5 Consent Withdrawal

If you withdraw consent for data processing at any time — whether by disconnecting your POS integration, uninstalling the app, or contacting us directly — we will immediately cease collecting and processing the affected data. Previously collected data will be retained in your account until you request deletion or your account is terminated in accordance with Section 11.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and TeezByDeez Hospitality Operations regarding the Service.

14.2 Amendments

We may amend these Terms from time to time. For material changes, we will provide at least 14 days' notice by email before the changes take effect.

14.3 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
